Introduction

These Terms of Use govern the entire VYVO offering, which is composed of two macro product categories:

Vyvo AI Services (including Vyvo AI Life CoPilot, Vyvo Forge and other related AI-based services)
Wearable Devices & Accessories (including Vyvo-branded hardware and related accessories)

Unless otherwise expressly specified, the provisions set forth in Section A – General Terms Applicable to the Entire VYVO Offering apply jointly to both macro product categories. Product-specific terms are set forth in Section B – Vyvo AI Services and Section C – Wearable Devices & Accessories. In case of conflict, the product-specific terms shall prevail.

Section A — General Terms Applicable to the Entire VYVO Offering

1. Acceptance of Terms

By accessing or using any part of the VYVO offering, including Vyvo AI Services and/or Wearable Devices & Accessories, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the VYVO offering.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website or within the relevant product or service, and your continued use constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use the VYVO offering. If you are under 18, you must have the consent of a parent or legal guardian. By using the VYVO offering, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

3. User Account and Security

Account Creation: To access certain features or services, you may need to create an account. You agree to provide accurate and complete information during registration and to keep it updated.

Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at [email protected] if you suspect unauthorized use.

Termination: We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including violation of these Terms.

4. Data Collection and Usage

VYVO processes and stores various types of user data ("User Data") in connection with the provision of its offering, including but not limited to:

Text input
Uploaded documents
Voice and audio recordings
Video and images
Metadata related to interactions, devices, and usage

4.1 Data Storage

User Data is stored on secure servers managed by VYVO or third-party providers. We implement robust security measures to protect your data, including but not limited to encryption, access controls, and blockchain technology for enhanced integrity and traceability.

We retain User Data for as long as necessary to provide the relevant services, comply with legal obligations, or improve functionality, unless you request deletion.

4.2 Data Use

User Data may be used to:

Provide, maintain, and improve the VYVO offering
Train AI models to enhance performance and accuracy
Respond to legal requests or protect our rights
Conduct aggregated, anonymized analytics

4.3 Data Sharing

We do not sell personal data. User Data may be shared with:

Third-party service providers under strict confidentiality agreements
Law enforcement or government entities if required by law
Successors in the event of a merger, acquisition, or sale of assets

4.4 Data Deletion

You may request deletion of your User Data by contacting [email protected]. Deletion may limit or terminate your ability to use parts of the VYVO offering.

5. User Responsibilities and Prohibited Conduct

Content Ownership: You retain ownership of your User Data but grant VYVO a worldwide, non-exclusive, royalty-free license to use, store, process, and reproduce it as necessary to provide and improve the offering.

Prohibited Actions: You agree not to:

Use the VYVO offering for illegal purposes or to violate third-party rights
Engage in unethical usage, harassment, harmful or misleading content dissemination, or malicious exploitation
Upload malicious code or harmful content
Attempt to reverse-engineer, hack, or interfere with systems
Overload or disrupt systems

Unethical usage may result in immediate termination and a lifetime ban from VYVO services.

6. Intellectual Property

All software, algorithms, designs, branding, and related intellectual property forming part of the VYVO offering are owned by VYVO and protected by applicable laws.

Any feedback or suggestions you provide may be used by VYVO without compensation or attribution.

7. Privacy

Your use of the VYVO offering is governed by our Privacy Policy, which details how personal information is collected, used, and protected.

8. Disclaimers

The VYVO offering is provided "as is" and "as available," without warranties of any kind, to the maximum extent permitted by applicable law.

To the extent permitted under U.S. law, VYVO disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

For users in the European Union or European Economic Area, nothing in these Terms shall limit or exclude mandatory statutory warranties or consumer rights that cannot be waived under applicable law.

We do not guarantee uninterrupted, error-free operation or that outputs — particularly AI-generated outputs — will be accurate or complete.

9. Limitation of Liability

To the fullest extent permitted by applicable law, VYVO shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.

For users in the United States, VYVO's total aggregate liability for any claim arising out of or relating to the VYVO offering shall not exceed USD 100 or the amount paid by you to VYVO in the twelve (12) months preceding the claim, whichever is greater.

For users in the European Union or European Economic Area, this limitation of liability shall apply only to the extent permitted by applicable law and shall not limit liability for gross negligence, willful misconduct, death, personal injury, or other liability that cannot be excluded under EU consumer protection laws.

10. Legal Compliance and Jurisdiction

User Data may be disclosed in response to court orders, subpoenas, or other lawful legal processes.

10.1 United States

For users residing in or accessing the VYVO offering from the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the VYVO offering shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, USA.

10.2 European Union

For users residing in the European Union or European Economic Area (EEA), these Terms shall be governed by the laws of the country of the user's habitual residence, in accordance with applicable EU consumer protection laws. Nothing in these Terms shall deprive EU consumers of the mandatory protections afforded to them under applicable EU law, including but not limited to Regulation (EU) 2016/679 (GDPR) and Directive (EU) 2019/770 and Directive (EU) 2019/771, where applicable.

10.3 Other Regions and Continents

For users residing outside the United States and the European Union, these Terms shall be interpreted and enforced in a manner consistent with applicable local consumer protection, data protection, and mandatory laws of the user's country or region of residence.

Nothing in these Terms is intended to exclude, limit, or waive any rights or remedies that cannot be lawfully excluded under applicable local law, including statutory consumer rights, data protection rights, or mandatory warranty provisions.

To the extent permitted by applicable law, any disputes arising out of or relating to the VYVO offering shall be subject to the jurisdiction specified in Section 10.1, unless mandatory local law provides otherwise.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold VYVO harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the VYVO offering, your violation of these Terms, or your infringement of third-party rights.

For users in the European Union or European Economic Area, this indemnification obligation shall apply only to the extent permitted by applicable consumer protection laws and shall not impose obligations that are legally prohibited.

12. Force Majeure

VYVO shall not be liable for delays or failures caused by events beyond reasonable control.

13. Miscellaneous

These Terms constitute the entire agreement between you and VYVO. If any provision is found invalid, the remaining provisions remain in effect. Failure to enforce any right does not constitute a waiver.

Section B — Vyvo AI Services

14. Description of Vyvo AI Services

Vyvo AI Services are a suite of artificial intelligence–powered services designed to assist users with a wide range of tasks, including generating, processing, and analyzing user-provided content such as text, documents, audio, video, and images, as well as providing interactive assistance, automation, and decision support.

Vyvo AI Services include, but are not limited to, solutions such as Vyvo AI Life CoPilot and Vyvo Forge, and may integrate with devices, applications, and other digital platforms. Features and capabilities may evolve over time at VYVO's discretion.

15. Vyvo AI Subscription, Warranty, and Refund Policy

Vyvo AI Services are available via monthly or yearly subscription plans. At purchase, users must provide valid payment information to enable automatic renewal.

Subscriptions are automatically charged at the end of each billing cycle unless automatic renewal is disabled.

Once activated or renewed, subscriptions are non-refundable.

Vyvo AI subscriptions may also be activated via vouchers, which are valid for six (6) months from issuance or from the official service launch date, unless stated otherwise in the voucher details. Payment information is still required, and automatic renewal applies after the first month.

16. Termination of Vyvo AI Services

You may stop using Vyvo AI Services at any time. VYVO may suspend or terminate access for non-compliance, unethical usage, non-payment or other reasons at its discretion.

Post-termination provisions relating to data, intellectual property, liability, and legal matters shall survive.

16.1 Subscription Cancellation

Users may cancel their subscription at any time by accessing the Profile Settings → Overview section.

When requesting cancellation, the User may choose either to:

Keep the service active until the end of the current billing period (monthly or annual), retaining access to all subscribed features until that date; or
Terminate the service immediately, resulting in the immediate suspension of access to all plan features. In this case, no refund or credit will be issued for the unused portion of the subscription period.

Once the cancellation is processed, the subscription will not renew automatically, and the User will be downgraded to the free plan at the end of the already paid period.

Except where required by applicable law, payments already made are non-refundable.

16.2 Subscription Upgrade

Users may upgrade to a higher subscription plan at any time via Profile Settings → Overview.

The upgrade takes immediate effect, and all features of the new plan become available upon successful payment.

Any amounts previously paid for the ongoing billing period may be prorated according to the platform's policies, with any remaining balance charged accordingly.

16.3 Subscription Downgrade

Users may downgrade their subscription by accessing Profile Settings → Overview.

The downgrade will take effect at the end of the current billing period. Until that date, the User will continue to enjoy all features of the higher-tier plan.

Downgrading does not entitle the User to any refund of fees already paid for the current billing period.

Section C — Wearable Devices & Accessories

17. Limited Warranty

Vyvo warrants that Vyvo Products are free from defects in materials or workmanship for one (1) year from receipt, or longer if required by applicable law, including two (2) years for residents of the European Economic Area.

This Limited Warranty is non-transferable and subject to eligibility conditions, exclusions, and procedures as detailed below.

18. Warranty Eligibility and Exclusions

To be eligible, you must maintain an active account, be the original purchaser, and return the product within the applicable warranty period.

The Limited Warranty does not cover non-Vyvo products, lost or stolen products, misuse, normal wear and tear, cosmetic damage, unauthorized modifications, or unauthorized repairs.

19. Product Support and Replacement Procedure

Users must contact Customer Care for technical issues and provide required documentation. Replacement procedures vary by device type, including specific rules for Biosense Ring and Biosense Watch devices, including return merchandise authorization (RMA) requirements.

Unauthorized returns are not eligible for replacement or refund.

20. 30-Day Return Policy

Users may request a return within 30 days of shipment, subject to restocking fees and eligibility conditions. Refunds exclude shipping costs and are processed via the original payment method.

21. Replacement for Incorrect Size

In cases of incorrect sizing (e.g., Biosense Ring), users may request a replacement subject to payment of applicable shipping costs and compliance with return conditions.

22. Band Adjustment Disclaimer

For adjustable bands such as the Biosense Watch strap, users must follow the user guide. Vyvo is not responsible for damage due to incorrect adjustments and does not provide replacement bands for such damage.
